The name of this organization shall be the Alaska Library Association, Northern Chapter.

| ARTICLE II - OBJECT |

The object of this organization shall be to promote library service and development within the local area and the state, to raise the standards of library service, and to foster professional and fraternal relations among librarians and others interested in library service.

| ARTICLE III - MEMBERSHIP AND DUES |

| Section 1 |
Any person engaged in library work or interested in library service, including library trustees, may become a member upon payment of annual dues. All members in good standing including honorary members, shall be entitled to a vote. |
| Section 2 |
Dues shall be set by the membership and shall be payable annually. |
| Section 3 |
Dues for the January - December membership year shall be paid to the Treasurer by March 1 to remain in good standing. New members shall receive a copy of the current by-laws. |
| Section 4 |
Honorary membership may be conferred by a vote of the chapter membership. Any person who has made important contributions to library service in interior Alaska shall be considered eligible for this honor. Honorary members are exempt from dues. |
| Section 5 |
Members of the Alaska Library Association, Northern Chapter, shall be encouraged to become members of the state association and relevant regional or national organizations. |

| ARTICLE IV - OFFICERS |

| Section 1 |
The officers of the organization shall be:
The President, who shall preside at all business meetings, and perform related duties customary to this office;
The Vice-President, (President Elect) who shall schedule all business meetings and perform the duties of the president in his or her absence.;
The Secretary, who shall record the minutes of all business meetings, preserve the official records and reports of the association and conduct necessary correspondence;
The Treasurer, who shall collect dues, make authorized expenditures, keep a current membership list, and perform related duties customary to the office.

| Section 2 |
The Vice-President shall be elected for a one year term and during the following one year shall serve as President. The Secretary and the Treasurer shall be elected for two years in alternate year elections. |
| Section 3 |
The officers shall assume their duties at the January meeting. |
| Section 4 |
A vacancy in the office of President shall be filled by the Vice-President (President-Elect). A vacancy in the office of Vice-President, Secretary or Treasurer shall be filled by appointment. |

| ARTICLE V - COMMITTEES |

| Section 1 |
| The Chapter President shall appoint committee chair-persons who then shall choose their own committee members. There shall be the following standing committees: |
| A. |
A nominating committee shall prepare a slate of at least one nominee for each office to be presented to the membership by mail or e-mail at least four weeks prior to the November meeting. |
| B. |
A Program committee shall be responsible for the program of non-business activities every other month starting in February. |

| Section 2 |
Other committees may be appointed at the discretion of the president. |
| Section 3 |
Committees shall submit a written report to the president prior to the end of their term. |

| ARTICLE VI - MEETINGS |

| Section 1 |
There shall be at least four business meetings per year. |
| Section 2 |
The officers shall designate the time and place of the business meetings for each year. |
| Section 3 |
Six members or 15% of the current membership, whichever is less, shall constitute a quorum. Each member in attendance may carry one written proxy. |

| ARTICLE VII - ELECTIONS & ELECTRONIC MAIL |

| Section 1 |
The election of officers shall be held in November at a business meeting or by mail. Electronic mail will not be used for election of officiers. |
| Section 2 |
Electronic mail may be used for the dissemination of information, ballots, or registration forms and for voting on issues that come up between regularly scheduled business meetings. For e-mail voting a quorum will consist of 15% of current members. |

| ARTICLE VIII - PARLIAMENTARY AUTHORITY |

The rules contained in the current edition of Robert's Rules Of Order shall govern the chapter in all cases to which they are applicable and in which they are not inconsistent with these by-laws and any special rules the chapter may adopt.

| ARTICLE IX - AMENDMENTS |

The by-laws may be amended at any meeting by a two-thirds vote of those present, providing mail or e-mail notice of the proposed change has been given the membership at least four weeks prior to the meeting.
